Terms & Conditions
1. Definitions
1.1 "Company" means Oakman Solution Limited.
1.2 "Customer" means the person or entity purchasing goods or services from the Company.
1.3 "Goods" refers to any products supplied by the Company.
1.4 "Services" means any services provided by the Company.
2. General
2.1 These terms and conditions apply to all transactions between the Company and the
Customer.
2.2 No variation to these terms shall be binding unless agreed in writing by the Company.
3. Orders and Pricing
3.1 All orders are subject to acceptance by the Company.
3.2 Prices are subject to change without notice before order acceptance.
3.3 The Company reserves the right to correct any pricing errors.
4. Payment
4.1 Payment terms are strictly 30 days from the date of invoice unless otherwise agreed in
writing.
4.2 The Company reserves the right to charge interest on overdue accounts at 4% above the
current Reserve Bank of Australia cash rate.
4.3 The Customer shall pay all costs incurred by the Company in collecting overdue amounts.
5. Delivery and Risk
5.1 Risk in the Goods passes to the Customer upon delivery or collection by the Customer or
their agent.
5.2 The Company is not liable for any loss or damage to Goods after delivery.
6. Warranties and Liability
6.1 The Company warrants that Goods and Services will be of merchantable quality and fit
for their intended purpose.
6.2 To the extent permitted by law, the Company's liability is limited to the replacement of
Goods or re-supply of Services.
6.3 The Company is not liable for any consequential loss or damage arising from the use of
its Goods or Services.
7. Intellectual Property
7.1 All intellectual property rights in the Goods and Services remain the property of the
Company.
8. Termination
8.1 The Company may terminate any agreement with the Customer if the Customer breaches
these terms and conditions.
8.2 Upon termination, all amounts owed to the Company become immediately due and
payable.
9. Governing Law
9.1 These terms and conditions are governed by the laws of the State of Victoria, Australia.
10. Privacy
10.1 The Company will handle Customer information in accordance with its privacy policy
and applicable privacy laws.
11. Force Majeure
11.1 The Company is not liable for any failure or delay in performing its obligations due to
events beyond its reasonable control.
12. Severability
12.1 If any provision of these terms and conditions is found to be invalid or unenforceable,
the remaining provisions shall remain in full force and effect.
